Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. When you create an account, you must provide accurate, current, and complete information and keep it up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

2. Access and Acceptable Use

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You agree not to:

• Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying ideas.
• Upload malicious code, interfere with the operation of the Services, or attempt to bypass security controls.
• Use the Services to transmit unlawful, infringing, or harmful content.
• Resell, sublicense, or otherwise provide the Services to third parties without our written consent.

3. Subscription and Payment

Certain features of the Services may require payment of fees. You agree to pay all applicable fees when due and to provide valid billing information. All fees are non-refundable except as required by law or as noted in an applicable order form. We may change our pricing upon reasonable notice. If you do not agree to the revised fees, you may terminate your subscription before the new pricing takes effect.

4. Integrations and Third-Party Services

The Services may allow you to connect to third-party products or services. Your use of any third-party integrations is subject to the separate terms and privacy policies of those providers. Last8 is not responsible for third-party services and disclaims all liability arising from their use.

5. Intellectual Property

The Services, including all software, text, graphics, and trademarks, are owned by or licensed to Last8 and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, you gain no ownership or rights in the Services. You may provide feedback or suggestions; we may use such feedback without restriction.

6. Confidentiality

Each party may have access to confidential information of the other, including receipt data, account information, and business plans. You agree to protect our confidential information with the same care you use for your own confidential data and to use it only as necessary to use the Services. We will protect your confidential information in the same manner.

7. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you consent to the processing of your information as described there.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Last8 disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by law, Last8 and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amounts you paid to us for the Services in the twelve (12) months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Last8 and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or if it is reasonably necessary to protect the Services or other users. You may stop using the Services at any time. Upon termination, your right to access the Services ends immediately, but provisions that by their nature should survive will survive, including ownership, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to the Services or these Terms will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction and venue.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" above and, if the changes are material, provide additional notice. Your continued use of the Services after the updated Terms are posted constitutes your acceptance of the changes.
