Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. When you create an account, you must provide accurate, current, and complete information and keep it up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

2. Access and Acceptable Use

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You agree not to:

• Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying ideas.
• Upload malicious code, interfere with the operation of the Services, or attempt to bypass security controls.
• Use the Services to transmit unlawful, infringing, or harmful content.
• Resell, sublicense, or otherwise provide the Services to third parties without our written consent.

3. Subscription and Payment

Certain features of the Services may require payment of fees. You agree to pay all applicable fees when due and to provide valid billing information. All fees are non-refundable except as required by law or as noted in an applicable order form. We may change our pricing upon reasonable notice. If you do not agree to the revised fees, you may terminate your subscription before the new pricing takes effect.

4. Integrations and Third-Party Services

The Services may allow you to connect to third-party products or services. Your use of any third-party integrations is subject to the separate terms and privacy policies of those providers. Last8 is not responsible for third-party services and disclaims all liability arising from their use.

5. Intellectual Property

The Services, including all software, text, graphics, and trademarks, are owned by or licensed to Last8 and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, you gain no ownership or rights in the Services. You may provide feedback or suggestions; we may use such feedback without restriction.

6. Your Data, Backups, and Service Changes

You retain any rights you have in the information, files, and other content you submit to the Services ("Your Data"). You grant us a non-exclusive, worldwide, royalty-free right to host, copy, process, transmit, modify, and otherwise use Your Data only as reasonably necessary to operate, secure, support, and improve the Services, comply with law, and enforce these Terms.

You are solely responsible for maintaining current, independent copies of Your Data. The Services are not an archival, backup, disaster-recovery, or system-of-record service. We do not guarantee that Your Data will be retained, available, accurate, preserved, recoverable, or free from loss, corruption, deletion, alteration, unauthorized access, or disclosure. You should regularly export and independently retain the records you need.

We may modify, suspend, limit, or discontinue any part of the Services, including access to or processing of Your Data, at any time, subject to applicable law. We may delete Your Data after account closure, termination, or discontinuance of the Services, subject to applicable law and our Privacy Policy.

7. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you consent to the processing of your information as described there.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Last8 disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, available, or compatible with your needs, or that Your Data will be retained or recoverable. No security measure is perfect, and we cannot guarantee that unauthorized access, loss, corruption, or disclosure will never occur.

The Services are not accounting, tax, legal, records-retention, or other professional advice. You are solely responsible for reviewing the Services' output and determining whether it is complete, accurate, and suitable for your accounting, tax, legal, or recordkeeping obligations.

9. Limitation of Liability

To the maximum extent permitted by law, Last8 and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, or the cost of recovering, replacing, recreating, or restoring data, arising out of or related to your use of the Services, including from any security incident, unauthorized access, corruption, deletion, or unavailability of Your Data. Our total liability for any claim will not exceed the amounts you paid to us for the Services in the twelve (12) months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Last8 and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, including if we believe you have violated these Terms, if it is reasonably necessary to protect the Services or other users, or if we discontinue the Services. You may stop using the Services at any time. Upon termination, your right to access the Services ends immediately, and we may delete Your Data as described in these Terms and the Privacy Policy. Provisions that by their nature should survive will survive, including ownership, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to the Services or these Terms will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction and venue.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" above and post the updated Terms here. Changes take effect when posted unless we state otherwise. For material changes, we will provide any notice or obtain any consent required by applicable law. To the extent permitted by law, your continued use of the Services after an updated version takes effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.
